Recruitment Agreement

Between Flexxy and <client>

 

 

Parties

This Agreement is entered into between:

 

Flexxy B.V.

KVK number: 73969559

Registered office: Haarlem, The Netherlands Hereinafter referred to as the “Service Provider”

 

and

 

<Client>

Hereinafter referred to as the “Client”

 

together referred to as the “Parties.”

 

Definitions: In this Agreement, the following terms shall have the meanings set out below:

 

  • Candidate: any individual introduced by the Service Provider to the Client for the purpose of possible employment.
  • Introduction: a Candidate shall be deemed introduced once the Service Provider has provided the Client with information about the Candidate. When the Client requests additional information or an interview with the Candidate, this shall be considered acceptance of the services, including the applicable fee.
  • Agreement: this recruitment agreement including all articles and

 

Fee Structure: The recruitment fee is based on the Candidate’s agreed annual gross salary:

 

– €40,000 – €50,000 → €8,000

– €50,000 – €60,000 → €10,000

– €60,00 – €70,000 → €13,000

– €70,000 – €80,000 → €15,000

– €80,000 – €90,000 → €17,000

 

If the agreed annual gross salary falls exactly on the breakpoint between two bands, the higher fee shall automatically apply. All fees are exclusive of VAT.

Payment Terms:

  1. The Service Provider operates on a no cure, no pay basis.
  2. Payments are made in two installments:
    • 80% of the fee payable upon candidate contract
    • 20% of the fee payable after 3 months of the candidate’s
  1. The second installment is waived if the Candidate leaves the Client within 3 months of starting employment.

All invoices issued by the Service Provider are subject to a payment term of 14 days from the invoice date, unless otherwise agreed in writing.

Candidate Guarantee:

If a Candidate leaves within probation period, the Service Provider will continue the search for a replacement at no additional cost, until a suitable replacement is found.

Candidate Experience & Feedback:

To ensure a positive candidate experience and support the Client’s employer image:

  • The Client shall provide feedback on proposed Candidates within 2 business
  • The Client shall provide feedback after interviews within 2 business

 

Candidate Ownership

  1. If a Candidate introduced by the Service Provider is not initially hired by the Client but is employed, contracted, or otherwise engaged by the Client (directly or indirectly) within a period of six (6) months from the date of introduction, the Client shall promptly inform the Service Provider.
  2. In such cases, the Service Provider and the Client shall discuss and agree on a reasonable recruitment fee, taking into account the circumstances of the hire.
  3. The Client is not permitted to engage, hire, or introduce the Candidate to any affiliated entity or third party within this six-month period without the involvement or written consent of the Service Provider.

 

Liability:

The Service Provider is solely responsible for the introduction of Candidates and provides no guarantee as to the suitability, integrity, or performance of Candidates. The Service Provider shall not be liable for any loss, damage, or claims arising from the employment of a Candidate by the Client.

Governing Law & Jurisdiction:

1. This Agreement and all related proposals, introductions, offers, or contracts are governed exclusively by Dutch law.

  1. All disputes arising from or related to this Agreement, including disputes resulting from actions by the Client, Service Provider, or Candidate, shall be submitted exclusively to the competent court in Amsterdam, The Netherlands.
